CONSTITUTION AS ADOPTED

JANUARY 17-1978

ARTICLE I

Name

The name of this organization shall be the "Southwest Nebraska Genealogical Society", PO Box 156 McCook, Nebraska 69001

ARTICLE II

Object

First- -

The object of this society shall be, to collect and to preserve all available material and share ideas with anyone interested in genealogy.

Second- -

To assist in preparing and completing family lines, to be filed for future reference and to further genealogical research.

Third- -

To gather by degrees, a library for the use of the Society, composed of all obtainable books, monographs, pamphlets, manuscripts, etc., related to genealogy.

Fourth- -

To be known as an educational-non profit organization. All monies received will first pay necessary expenses and then balance will be used to purchase books and equipment for the Society. No part of the earnings of the organization shall inure to the benefit of, or be distributable to, its members, trustees, officers or other private persons except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered.

Fifth- -

To raise funds for any of the foregoing purposes and to accept donations, gifts, legacies and bequests.

Sixth- -

Not withstanding any other provisions of these articles, this organization shall not carry on any other activities not permitted to be carried on under (a) by an organization exempt from Federal Income Tax under Sections 501 (c) (3) of the Internal Revenue Code 0f 1954 ( or the corresponding provisions of any future United States Revenue Law) or (b) by an organization, contributions to which are deductible under Section 170 (c) (2) of the Internal Revenue Code of 1954 (or the corresponding provisions of any future United States Revenue Law.)

Seventh- -

No substantial part of the activities of this organization shall be carrying on of propaganda or otherwise attempting to influence legislation and this organization shall not participate in or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office.

Eight- -

Upon the disolution of this organization, the Executive Board, shall after paying or making provisions for the payment of the liabilities of this organization, dispose of all the assets of the organization exclusively for the purposes of the organization in such manner, or to such organization or organizations organized and operated exclusively for charitable, educational religious or scientific purposes as shall at the time qualify as an exempt organization or organizations under Section 501 (c) (3) of the Internal Revenue Code of 1954 (or the corresponding provisions of any future United States Internal Revenue Law), as the Executive Board shall determine, any such assets not so disposed of shall be disposed by the District Court of the county in which the pricipal office of the organization is then located, exclusively for such purposes or to such organization or organizations as said court shall determine, which are organized and operated exclusively for such purposes.

Ninth- -

All of the foregoing are for carrying on the work of this organization for educational purposes and to operate solely for educational purposes as provided in Section 501 (c) (3) of the Internal Revenue Code of 1954.

ARTICLE III

Membership

Any person who is interested in genealogy may become a member by paying the annual dues.

ARTICLE IV

Officers

The officers shall be: President, Vice President, Secretary and Treasurer. The term of office shall be one year.

ARTICLE V

Meetings

Meetings shall be held on the first Tuesday of each month and workshops as called.

ARTICLE VI

This Constitution may be amended at any regular meeting of the Society by a two-thirds vote of the members present, notice of proposed amendment having been given at a previous regular meeting.

It was moved by Audrey Suiter and seconded by Sylvia Moore that we adopt the above Constitution as above. Carried.

THE SOUTHWEST NEBRASKA GENEALOGICAL SOCIETY

BY-LAWS

ARTICLE I MEMBERSHIP

Section 1. Any person who is interested in genealogy may become a member by paying the annual dues.

Section 2. Membership shall be classified as follows:

a. Individual participating members.

b. Associate members, Members living outside a radius of 100 miles of McCook

c. Only individual participating members who are members of Southwest Nebraska Genealogical Society and in good standing may vote and hold office.

ARTICLE II OFFICERS

Section 1. The officers shall be: President, Vice President, Secretary and Treasurer. The term of office shall be one year.

ARTICLE III EXECUTIVE BOARD

Section 1. The executive board shall consist of President, Vice President, Secretary and Treasurer.

Section 2. Shall approve appointments of Committee chairmen recommended by the President. This includes Librarian, Historian, Newsletter Editor, Genealogist and Auditing Committee.

Section 3. Shall carry on the work and purpose of the Society as stated in Article II of the Constitution. They shall have the power to make minor purchases, not to exceed $30.00 per month.

ARTICLE IV DUTIES OF OFFICERS & EXECUTIVE BOARD

Section 1. The President shall preside at all meetings of the Executive Board and the Society; and shall call special meetings of the Executive Board and Society when necessary; and shall be an ex-officio member of all committees except the nominating committee; and shall appoint all committee chairmen with the approval of the Executive Board.

Section 2. The Vice President shall preside in the absence of the President and shall assist in carrying out the work of the Society.

Section 3. The Treasurer shall receive and be responsible for all dues and other funds received by the Society and shall keep accurate records thereof; shall deposit funds in a bank or other financial institution approved by the Executive Board; shall pay bills as directed by the President and/ or Executive; shall submit a financial statement at monthly meetings; and shall assist in keeping a roster of active members.

Section 4. Secretary shall keep all resolutions and proceedings of all meetings of the Society in proper form, and shall perform all duties pertaining to the office;

shall be in charge of all correspondence relating to the Society, as well as the issuance of all notices of meetings and other duties that shall help to carry on the work of the Society.

Section 5. The Newsletter Editor shall direct the activities of the publications committee.

The Editor will be authorized to buy necessary supplies for the news letter and submit invoices to the Treasurer.

Section 6. The immediate past President shall be an advisor of the Executive Board.

ARTICLE V MEETINGS

Section 1. The fiscal year of the Society shall be from January 1st thru December 31 of each year.

Section 2. Meetings shall be held on the first Tuesday of each month and workshops as called.

Section 3. The Parliamentary Authority will be Roberts Rules of Order Newly Revised.

ARTICLE VI ELECTIONS

Section 1. Officers shall be elected at the first meeting in December annually.

Section 2. Term of office shall be one year for all officers, serving from January 1st, to December 31st.

Section 3. No officer may serve more than two consecutive terms in the same office.

Section 4. Election of officers shall be by majority vote of those members attending the December meeting, if they meet the requirements of Article I, Section II.

Section 5. In case of vacancy in an elected office, the President shall, with the approval of the Executive Board, appoint a successor to serve until the next annual election.

Section 6. The nominating committee shall submit a list of one or more candidates for each office to be elected, Further nominations can be made from the floor.

ARTICLE VII FINANCE

Section 1. The annual dues shall be established by the general membership.

Section 2. An Auditing Committee of two members of the Society in good standing, who are not officers, shall audit the Treasurers books yearly or at the change of the Treasurer. They shall report their findings at the next meeting.

ARTICLE VIII AMENDMENTS TO THE BY-LAWS

Section 1. These by-laws may be ammended by a majority vote of voting members present at the next scheduled meeting.

It was moved by Robert Ray and seconded by Connie Chrisman that we adopt the above By-Laws as above. Carried.
